Entity Formation & Maintenance

Medical school, dental school and trade school prepare you to become a doctor, dentist, plumber, electrician, contractor, chef, restaurateur or fitness instructor. Unfortunately, they don’t necessarily prepare you for the legal aspects of setting up and managing a business. At Ortiz & Doyle, we provide the sound, prudent legal guidance on business and real estate-related matters that you need well before that first customer walks in the door.

Our services include:

  • Forming LLC’s, corporations and partnerships
  • Obtaining federal employer identification numbers (EIN)
  • Drafting operating agreements, shareholder agreements, buy-sell agreements
  • Negotiating shareholder or investor buy-outs or buy-ins
  • Drafting contracts, invoices, proposal forms
  • Crafting franchise development agreements or territory agreements
  • Assisting with buying and selling businesses
  • Negotiating and drafting leases and lease renewals
  • Resolving disputes
  • Litigation, mediation, arbitration

We review, revise, and prepare a wide range of contracts and forms for businesses. We understand that businesses need a variety of documents prepared in a creative, prudent, and timely manner. Our team has expertise in an extensive range of agreements, such as:

  • Shareholder
  • Buy-sell
  • Subscription
  • Software development
  • Franchise
  • Purchase and sale
  • Licensing
  • Confidentiality
  • Non-solicitation
  • Non-disclosure
  • Non-competition

If you do not see what you need on the list, just call and ask. But chances are, we work on it.

Complex Commercial Litigation

Ortiz & Doyle has considerable experience and a record of success in resolving a wide range of business and commercial disputes. We practice in state and federal trial courts and appellate courts, as well as in the broad range of alternative dispute resolution processes, such as arbitration and mediation. We help our clients stay out of lawsuits through pre-suit meditations and thoughtful and creative legal advice. If the best alternative is to proceed with litigation or arbitration, we help by endeavoring to end suits quickly through settlement negotiations, or if necessary and advantageous, aggressively taking matters through trial, arbitration, and appeal. We represent both plaintiffs and defendants and have been successful in cases involving contracts, business torts, construction, corporate fraud, breach of fiduciary duty, unfair trade practice, RICO, toxic torts, and other issues.
